These Terms of Service (these “Terms”) contain the terms and conditions under which individuals may use the website or mobile application and access the services offered by PeopleSpace Technologies. (“PeopleSpace”, “we”, “us” and “our”). These Terms comprise a legal agreement between PeopleSpace and you, the person accessing and using the website or mobile application (“you” or “User”) with respect to your use of the Services (defined below). We own, operate and maintain the Nanny 911 website at www.nanny911.co.ke (“Website”), the Nanny 911 mobile application (“App” and referred to collectively with the Website, as “Nanny 911”) and Services. By downloading, accessing and/or using Nanny 911, you are deemed to have read and be bound by these Terms which shall govern your access and use of Nanny 911, including any content, functionality, and Services offered on or through Nanny 911, whether as a guest or a registered user.

IF YOU DO NOT AGREE TO THESE TERMS OR THE PRIVACY POLICY (DEFINED BELOW), YOU MAY NOT ACCESS OR USE THE WEBSITE OR APP, SHOULD NOT CLICK TO ACCEPT THESE TERMS AND SHOULD NOT PROCEED ANY FURTHER.

1. Description of Services

The Matching Service, Interview Support Service and the Vetting Service described below are referred to collectively as the “Services”.

Matching Service

We offer online services to match individuals and families with various Jobseekers, including, but not limited to, child care, nannies, housekeeping, and day bugs (collectively referred to as “Matching Service”). The Matching Service allows individuals providing services (“Jobseekers”) to post information profiles on the Website to facilitate matching with those users of the Nanny 911 (“Users”) who are seeking services (“Employers”).

The Matching Service facilitates the matching of Employers and Jobseekers by providing search and filtering functions to allow Employers to find the appropriate Jobseeker based on their preferences and needs.

We are not a party to the relationship between the Employer and Jobseeker. We shall not, in any way, be liable to an Employer or Jobseeker or any other third party, arising, either directly or indirectly from such employment or independent contractor agreement between the parties. The extent of the relationship between the Employer and any Jobseeker will be defined by those parties, without any input, control, insight, or direction from us.

We do not verify, review, evaluate, interview, screen or perform any background checks on any Users or Employers or the content posted by the Jobseekers or Employers on Nanny 911 unless an Employer orders for such Service. By accessing the Matching Service, You are deemed to have knowingly and voluntarily assumed all risks, known or unknown, associated with dealing with other persons whom you come in contact with through the Matching Service.

Please refer to the Website regularly for further information about the Matching Services provided.

Interview Support Service

We offer interview support services to help Employers make decisions about hiring a Jobsekeer. Our interview support services include designing interview questions, scheduling of interviews, reviewing performance, and providing an evaluation of the Jobseeker candidate. Interview support can be done together with the Employer or can be done only by us and recorded for future access by the Employer.

Vetting Service

We offer vetting services designed to help individuals and families make sound, informed hiring choices, and to reduce overall risk associated with those choices. We verify, review, evaluate, interview, screen and perform background checks on Jobseekers as ordered by Employers. The services and reporting we provide are timely, thorough and discreet. Services are tailored to each client’s needs.

2. Application Use

We grant you the right to use the Website for your personal use.

You must comply with all applicable laws and third party terms of agreement when using the Website (e.g. your wireless data service agreement). Your use of the Website is at your own discretion and risk, and you are solely responsible for any damages to your hardware device(s) or loss of data that results from the download or use of the Website.

You acknowledge and agree that the Website may not contain the same functionality available on the Website. We cannot guarantee the continuous, uninterrupted or error-free operation of the Website or that the Website will perform at a certain speed, as this depends on a number of factors beyond our control. You agree that downloading, accessing and use of the Website is made available to you on an “as is” and “as available” basis for use at your sole risk.

3. Eligibility Criteria

To be eligible to use the Services, we do not independently verify, and you represent and warrant as follows:

  1. that you are eighteen (18) years of age or older on the date of creation of your User Account;
  2. if you are registering as Jobseeker, that you are legally permitted to work;
  3. if you are a Jobseeker, you hereby affirm and understand that you will be selected (if at all), screened, interviewed, selected (or not), hired, and terminated (potentially), ultimately by the Employer and that our only involvement with any aspects of this relationship between the Jobseeker and Employer in consultative in nature; and
  4. if you are a Jobseeker, you have never been the subject of a complaint, protection order or any other legal action or criminal offence involving violence, abuse, neglect, fraud, or any other offence that involves endangering the safety of others.

4. User Accounts and Passwords

To access and use certain features of the Website, you will need to create a profile through the Website (“User Account”). As part of the process to create, register and maintain your User Account you must provide us with certain current, complete, and accurate registration information, including your name, e-mail address, age, address, postal code, and phone number, and other data or information that we request during the client account registration or renewal process (“Registration Data”).

In these Terms, “Personal Information” means any information about an identifiable individual, such as your name, e-mail address, mailing addresses, gender, date of birth, any data about you that you elect to provide electronically through Nanny 911 and any other information that identifies who you are. We will use the Registration Data and Personal Information solely in accordance with these Terms and our Privacy Policy for Nanny 911 found at www.nanny911.co.ke/privacy-policy (the “Privacy Policy”). In addition, if you are accessing the Services through the App, you may be asked permission to access to your location through your mobile device. Access to and use of your location information is consistent with the terms of our Privacy Policy.

You agree that you will:

  1. maintain and update such Registration Data and Financial Information (defined below) as necessary in order to keep such information current, complete, and accurate;
  2. maintain the confidentiality of any passwords or other account identifiers which you choose or that are assigned to you as a result of any registration or account creation with Nanny 911; and
  3. be responsible for all activities that occur under such password or account.

Further, you agree to immediately notify us of any unauthorized use of your password or account in the event that the confidentiality of your password or your account is compromised.

Failure to comply with this paragraph may result in immediate termination of your account.

5. User Account Fees, Term and Renewal

We charge fees for the Services. The first fee payment is made when a User signs up for the Services. The Employer agrees that the fee shall be automatically renewed based on the term chosen by the Employer (e.g., monthly, quarterly, annually), unless the Services are thereby terminated by either party.

You agree that any fees associated with the use of the Services are considered final payments and are non-refundable.

6. Personal Information

You agree that your use of the Website and the Services is subject to the terms of our Privacy Policy, which is hereby incorporated by reference into, and forms an integral part of, these Terms or by using Nanny 911, you expressly consent to the collection, storage, use and disclosure of your information, including your Personal Information, according to the Privacy Policy.

You represent and warrant that you are at least 18 years of age or have the permission of a parent or legal guardian and have had your parent or legal guardian agree to these Terms (if between the ages of 13 – 18), and that you have the full, unrestricted right and authority and have been fully authorized to provide to us any and all Registration Data (including any Personal Information) for the purposes of these Terms and that we are authorized and permitted to use such data as and to the extent provided in these Terms and the Privacy Policy.

7. Content and Use of Services

You agree that the content of information and materials posted on Nanny 911 by you is accurate, current and complete. In addition, you represent and warrant as follows:

  1. You will use the Services solely for yourself and are responsible for all activity and use of your account and may not assign or transfer your account to any other person.
  2. You have the right and authority to post all information you post about yourself or others.
  3. You will not provide inaccurate, misleading, defamatory or false information to us or to any other User of Nanny 911.
  4. You will not post any content (including, but not limited to, written material, text, photos, or graphical content) on the Website, or transmit to other users, that is defamatory, inaccurate, inappropriate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, defamatory, racially or ethnically offensive, or illegal material, or any material that infringes or violates another party’s rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity), or advocate, promote or assist any unlawful act.
  5. Your use of the Website, App and Services are in accordance with any and all applicable laws and regulations.

8. Reporting Claims of Copyright Infringement

We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on or from Nanny 911 infringe your copyright, you may request removal of those materials (or access to them) from Nanny 911 by submitting written notification to info@nanny911.co.ke

Repeat Infringers

It is our policy in appropriate circumstances to disable and/or terminate the accounts of users who are repeat infringers.

9. Use License

We hereby grant you a limited, non-exclusive, personal, non-transferable, non-sub-licensable and revocable right and license to:

  1. access Nanny 911 for the purpose of receiving the Services in accordance with these Terms of Service; and
  2. access, view and print any information and documentation made available on Nanny 911, for your personal, non-commercial and informational use only to assist you in the access and use of Nanny 911 and the Services.

These Terms do not grant you any other right or license, whether express or implied, by estoppel, or otherwise in or under any patent, trademark, copyright, or other intellectual property or proprietary right of PeopleSpace or any third party.

We may terminate this license at any time for any reason whatsoever.

10. Intellectual Property

Nanny 911 and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by PeopleSpace, its licensors, or other providers of such material and are protected by Kenyan and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use Nanny 911 for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on Nanny 911, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print one copy of a reasonable number of pages of Nanny 911 for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
  • If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

You must not:

  • Modify copies of any materials from this site.
  • Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
  • Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.

You must not access or use for any commercial purposes any part of Nanny 911 or any services or materials available through Nanny 911.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of Nanny 911 in breach of these Terms, your right to use Nanny 911 will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to Nanny 911 or any content on Nanny 911 is transferred to you, and all rights not expressly granted are reserved by PeopleSpace. Any use of Nanny 911 not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

11. Trademarks

All brand elements, company name, website names, logos, registered and unregistered trademarks displayed on Nanny 911 or used in connection with the Services are the trademarks of PeopleSpace (or its suppliers, partner businesses or third party licensors).

Any use or misuse of any trademarks or brand elements of PeopleSpace or any other content appearing on Nanny 911 or in connection with the Services except as provided in these Terms or with the express written consent of PeopleSpace is strictly prohibited.

Nothing contained on Nanny 911 shall be construed as an express or implied grant of any license or right to use any trade-mark or brand element without our prior written consent.

12. Use Restrictions

In addition to complying with these Terms, you agree not to use Nanny 911 or Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms.
  • To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter”, “spam”, or any other similar solicitation.
  • To impersonate or attempt to impersonate PeopleSpace, an employee thereof, another User, or any other person or entity (including, without limitation, by using email addresses associated with any of the foregoing).
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of Nanny 911, or which, as determined by us, may harm PeopleSpace or Users, or expose them to liability.
  • Use Nanny 911 in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of Nanny 911.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Nanny 911, the server on which it is stored, or any server, computer, or database connected to Nanny 911.
  • Otherwise attempt to interfere with the proper working of Nanny 911.

We encourage all Users and Employers to report any misconduct, misuse or unlawful activities of other Users or Employers, including, but not limited to activities on Nanny 911 and in connection with the Services provided. Please contact us at info@nanny911.co.ke

13. Termination of Registration

We reserve the right, in our sole discretion, to terminate your account or access to part or all of the Website, App and/or Services in the event that we determine you are not eligible to use the Services or have violated any of the provisions of these Terms, or have misused the Website, App or Services in any way. For Jobseekers who have been retained by Employers, any termination of the relationship between those parties will be done by those parties. We have no input in the establishment or termination of the relationship between any Jobseeker and Employer.

14. Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or Nanny 911 will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF NANNY 911 OR ITEMS OBTAINED THROUGH NANNY 911 OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

YOUR USE OF NANNY 911, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH NANNY 911 IS AT YOUR OWN RISK. NANNY 911, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH NANNY 911 ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PEOPLESPACE NOR ANY PERSON ASSOCIATED WITH PEOPLESPACE MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF NANNY 911. WITHOUT LIMITING THE FOREGOING, NEITHER PEOPLESPACE NOR ANYONE ASSOCIATED WITH PEOPLESPACE REPRESENTS OR WARRANTS THAT NANNY 911, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH NANNY 911 WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT NANNY 911 OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT NANNY 911 OR ANY SERVICES OR ITEMS OBTAINED THROUGH NANNY 911 WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT PROVIDED BY LAW, PEOPLESPACE HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

15. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, PEOPLESPACE, ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, AGENTS AND THIRD-PARTY CONTRACTORS, SUPPLIERS AND LICENSORS (COLLECTIVELY THE “NANNY 911 PARTIES”) SHALL NOT BE LIABLE TO YOU OR TO ANY OTHER PARTY, FOR ANY LOSSES, COSTS OR DAMAGES OF ANY KIND OR NATURE WHATSOEVER THAT ARE SUFFERED OR INCURRED IN CONNECTION WITH THE USE OF (OR THE INABILITY TO USE) NANNY 911, THE SERVICES, OR ANY PEOPLESPACE CONTENT OR THIRD PARTY CONTENT (REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, INCLUDING FOR BREACH OF CONTRACT, TORT, NEGLIGENCE, EQUITY, STRICT LIABILITY, BY STATUTE OR OTHERWISE AND REGARDLESS OF THE OCCURRENCE OF A FUNDAMENTAL BREACH OR FAILURE OF ESSENTIAL PURPOSE) IN EXCESS OF THE MAXIMUM AGGREGATE AMOUNT EQUAL TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS PERIOD PRIOR TO THE CLAIM.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE NANNY 911 PARTIES BE LIABLE FOR ANY SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND OR NATURE WHATSOEVER THAT ARE SUFFERED OR INCURRED IN ANY CONNECTION WITH THE USE OF NANNY 911 OR THE PROVISION OF THE SERVICES (INCLUDING IN ANY CONNECTION WITH THE TRANSMISSION OR DOWNLOADING OR STORAGE OF ANY DATA OR SUBMISSIONS TO OR FROM NANNY 911 OR THE USE OF, OR RELIANCE ON, ANY PEOPLESPACE CONTENT OR OTHER INFORMATION OR DATA CONTAINED ON OR PROVIDED THROUGH NANNY 911, OR SERVICES, OR LOSS OF OR DAMAGE TO FILES OR DATA OR ANY COSTS OF RECOVERING OR REPRODUCING ANY FILES OR DATA OR LOSS OF USE OR LACK OF AVAILABILITY OF SERVICES OR ANY BUSINESS INTERRUPTION OR LOSS OF REVENUE OR PROFIT OR ANY OTHER ECONOMIC LOSS WHATSOEVER) HOWEVER CAUSED AND REGARDLESS OF THE FORM OR CAUSE OF ACTION AND WHETHER OR NOT FORESEEABLE, EVEN IF THE NANNY 911 PARTIES OR ANY OF THEM HAS BEEN INFORMED IN ADVANCE OR OUGHT REASONABLY TO HAVE KNOWN OF THE POTENTIAL FOR SUCH DAMAGES.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

We are not a party to the relationship between the Employer and the Jobseeker, and shall not, in any way, be liable to an Employer or Jobseeker or any other third party, arising, either directly or indirectly from such employment or independent contractor agreement between the parties.

16. Indemnification

You agree to indemnify, defend and hold the Nanny 911 Parties harmless from any claim, demand, or damage, including reasonable legal fees, asserted by any third party due to or arising out of your violation of these Terms or your use of or conduct respecting the Services and Nanny 911 or your content.

17. Dispute Resolution

As a condition of using the Service, the Jobseeker agrees to the following terms and conditions of this Section 17:

  1. “Covered Dispute” means any claim, cause of action, controversy, or other dispute between the Jobseeker and Us and/or Jobseeker and the Employer that otherwise could be resolved by a court and that arises out of or relates to (i) the engagement of the Jobseeker by the Employer; (ii) Jobseeker’s use of the Services; (iii) the services that the Jobseeker performs for the Employer; or (iv) amounts paid to the Jobseeker related to services performed for an Employer, excluding only Non-Covered Disputes. A “Covered Dispute” is covered by this Section 17, regardless of whether it has already accrued or will accrue in the future.
  2. “Non-Covered Disputes” are limited to (i) workers’ compensation, unemployment insurance benefits, or any other claims that, as a matter of law, we or the Employer cannot agree to arbitrate, and (ii) any dispute where either party to the dispute is seeking injunctive or equitable relief for claims alleging unfair competition, unauthorized use or dissemination of Confidential Information, or the violation or threatened violation of any restrictive covenant to which any party is bound.
  3. “Us”, for purposes of this Section 17, refers to PeopleSpace and any of its affiliates, partners, employees, owners, directors.
  4. Arbitration. Jobseeker hereby agrees that any Covered Dispute that Jobseeker has with Us or the Employer will be submitted to binding arbitration to be administered by association responsible for Arbitration in Kenya. The arbitrator will be selected as provided in the Rules of Arbitration. The arbitrator shall have the authority to set deadlines for completion of discovery and shall decide all discovery disputes. The arbitrator shall issue a reasoned decision. The arbitrator’s decision shall be final and binding upon the Company, Worker, and any other parties to the arbitration.
  5. Compelling Arbitration/Enforcing Award. Either Party may ask a court to stay any court proceeding, to compel arbitration under this Section 17, and to confirm, vacate, or enforce an arbitration award. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
  6. Cost of Arbitration. The parties will be responsible for the arbitrator’s fees and expenses, with each party paying 50% of the arbitrator’s fees and expenses. Each Party shall pay its own costs and legal fees, if any. However, if any party to an arbitration proceeding prevails on a statutory claim that affords the prevailing party legal fees and costs, or if there is a written agreement providing for legal fees and costs, the arbitrator may award reasonable legal fees and costs in accordance with the applicable statute or written agreement. The arbitrator shall resolve any dispute as to the reasonableness of any fee or cost that may be awarded under this paragraph.
  7. No Group/Class/Collective Claims or Consolidation of Claims. Notwithstanding anything to the contrary, Jobseeker, on behalf of itself and any successors or parties in interest, expressly intends and agrees that: (i) class action, collective action, and representative action procedures shall not be asserted, nor will they apply, in any arbitration pursuant to this Section 17 against Us or any Employer; (ii) Jobseeker will not assert any claim on a class, collective, or other representative basis against Us or any Employer; and (iii) Jobseeker shall only submit its own individual claims in arbitration and will not seek to represent the interests of any other person or entity. Further, Jobseeker expressly intends and agrees that any claims not be joined, consolidated, or heard together with claims of any other person or entity. The arbitrator shall have no jurisdiction or authority to compel any class or collective claim, to consolidate different arbitration proceedings or to join any other party to an arbitration between Jobseeker and Us and/or any Employer. The validity and effect of this Section 17 shall be determined exclusively by a court and not by an arbitrator.
  8. The provisions of this Section 17 shall survive the termination of the Terms of Service and the termination of the Jobseeker’s employment with the Employer, whichever occurs first.

18. Miscellaneous

  1. Governing Law. All matters relating to Nanny 911, the Services and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with laws of the Republic of Kenya, without giving effect to any choice or conflict of law provision or rule.
  2. Language. It is the express will of the parties that these Terms and all related documents on Nanny 911 are in English.
  3. Non-assignment. These Terms are not assignable, transferable, or to be sub-licensed by you except with our prior written consent. We may assign, transfer, or delegate any of its rights and obligations hereunder without your consent.
  4. Modifications of these Terms and the Privacy Policy. We may revise and update these Terms and the Privacy Policy from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of Nanny 911 thereafter. However, any changes to the Dispute Resolution and Governing Law sections of these Terms will not apply to any disputes for which the parties have actual notice before the date the change is posted on Nanny 911.
